Outlook 2002 Won't Close

When I shut down my computer (after closing all programs,
including outlook), I get an "End program -- OUTLOOK.EXE"
box saying that this program is not responding, and when
I click "end now," my computer stops shutting down.

Then when I try to shut down again, I go through this
process several times until it finally shuts down.

Why is my outlook still running after I close the
program?

Do you use ActiveSync (for PocketPC) or fax software or something that might
be keeping outlook.exe open in the background?
