That solved the problem and i'm now happily synced - thanks. The only one
point is i am trying to set the Entourage Notes to overwrite my Mac (as wih
calender, contacts etc) but it doesnt give me the optin to choose which device
overwrites which? Any ideas?
Notes can be problematic. Read the entire article especially the section

Neither notes nor tasks are synched to Exchange servers. As for workarounds:
you could save your notes as e-mail drafts and store them in a mail folder
that you have created for that purpose. Mail messages and folders are
synched to the server, and you can use the same formatting options for both
notes and e-mail messages.
BASICS:
There's a dialog that pops-up in Entourage when you turn on synching of a
calendar or address book that asks something like: "You have enabled Sync
Services for a folder, do you want to?"
Replace Entourage items with Sync Services items
Replace Sync Services items with Entourage items
Merge Entourage items with Sync Services items
