Countif for multiple criteria

I thought I knew how to do this...but I can't get it right.

I have two ranges that I need to check before I add them.

So I have EditDate (E2:E80) and Status (G2:G80)

I need to count up the times that the EditDate is
<<"7/25/2002" old AND the Status = "Active".

I thought I'd use countif, but It's not working.

Any hints?

Instead of typing the date 7/25/02 point it to the cell instead or tye the
serail number of the date which in this case is 37439
