COUNTIF

Hi All
I Need a COUNTIF function that counts how many dates are
greater than a certain date.
When I give it a cell reference it doesn't work, but it
works when I enter the actual date.

=COUNTIF(D2300,">01/07/04") Works
=COUNTIF(D2300,">$D$3") Doesn't work

Any Ideas?

That Works fine
Is possible to do something like this

=COUNTIF(D2300,">" & $D$3)And ,"<" & $D$4)

Basically I need to do a count if based on 2 arguments
E.g Counif =>01/07/04 or Blank

=COUNTIF(D2300,">" & $D$3) -COUNTIF(D2300,">=" & $D$4)

or
=SUMPRODUCT(--(D2300>$D$3),--(D2300<$D$4))
for the latter one see:
