improve existing template?

Does Microsoft mind if an existing Excel template that they created is
modified dramatically to improve it (conditional formats, list validations,
etc.) and then posted as a template with improvements? How do you give
credit for previous work that you enhance?

That depends on just where you got the template from. Go back to the
pages you got the template from and check THEIR copyright or usage
statements. You probably won't have to do anything as a requirement if
you got them through normal offerings from MS.
