Outlook.exe stalls shutdown...

Am using WinXP-pro PC, and Outlook2002. With nothing running except the
desktop, sometimes when I go to "Turn Off Computer", I recently started
getting this error window...

I click End Now button and it shuts down. What's causing this? Is there a
fix? Outlook is not running in the Windows Task Manager under Applications
tab, although Outlook.exe is listed under the Processes tab (and it might be
in there more than once, having studied all circumstances that closely).
