upgrade from PC Office to Mac Office

Having already upgraded my Mac Office to 2004 on my desktop machine, and
having another Mac (PowerBook) on which I'd like to have Office 2004, can I
qualify for the upgrade price via my no-longer-used PC version of Office?

I don't want to run into the problem of having one person on the laptop and
one on the desktop and having the programs unavailable on one because the
license has been exceeded.

Not according to this Microsoft page:

"Licensed users of Office v. X, Office 2001, Office 98 or any of the
individual applications in these product suites, including promotional
bundles, are eligible to purchase the Office 2004 Standard Edition or
Professional Edition Version Upgrade"

This is directly from my copy of the license, but you should definitely read
your since it might be different in different countries:

"1.1 General License Grant to Install and Use Software Product. You may
install and use one copy of the Software Product on a single computer,
device, workstation, terminal, or other digital electronic or analog device
(³Device²). You may make a second copy of the Software Product and install
it on a portable Device for the exclusive use of the person who is the
primary user of the first copy of the Software Product. A license for the
Software Product may not be shared."
