Windows Desktop Search ver 3.01 Produces Error Message

I recently licensed OneNote 2007 which produces a message saying my searchs
can be made faster by installing the new Windows Desktop Search (ver. 3.01).

When I try, the installation program terminates before finishing the install
and gives an error message that the program is either in use, or I don't have
adequate permissions to install the update. And that's when running as
Administrator.

There are a number of good threads rgarding similar problems with ver. 3.0,
but none re. ver. 3.01.

Any ideas? I can send the error log to anyone willing to try to read it with
an eddress.

I'm running an XP Pro box ver. 5.1 (Build 2600.spsp.080413-2111 Service Pack
3).
