May I ask why you're posting this statement (not a question) in a
technical support newsgroup for Micrsoft Access databases?

Do get someone to proofread any contract you come up with, both for
legality and for grammar. The sentence above would start you off on
the wrong foot...

To add to John's comment: an attorney in your jurisdiction who specializes
in business contracts would be the appropriate source for legal advice. Take
with a grain, or a bushel, of salt any "legal advice" you get in newsgroups
on the Internet -- very frequently we read posts by people who are certain
they know what the law says in some particular area, and they are dead
wrong.
