Activation of used Office XP

I recently bought Office 2003 Professional and would like
to sell my Office XP Professional to make up some of the
expense of 2003. One of my friends is interested in
buying it, but he told me he had heard that he would not
be able to activate it because he is not the original
owner. Is this true? By the way, I did not upgrade to
2003 from XP. I removed XP prior to installing 2003.
Wouldn't this leave the license valid for my friend if I
do sell it to him? Any info would be helpful. Thank you
for your time.

Is your Office 2003 version a full version or an upgrade version? If it is
an upgrade version, you are required to retain the Qualifying Product, i.e.,
Office XP.

It is the full version. After an upgrade nightmare going
from Office 97 to Office 2000, I decided I would never do
the upgrade thing again.

And what if there is a problem, who do we call and would
I have to call as the seller or would he as the buyer?

please refer to the following point in Office EULA

14. SOFTWARE TRANSFER. Internal. You may transfer your copy of the Software to a different device. After the transfer, you must completely remove the Software from the former device. Transfer to Third Party. If you are the person who initially licensed the Software, you may make a one-time permanent transfer of this EULA, Software and Certificate of Authenticity (if applicable) to another end user, provided that you do not retain any copies of the Software. This transfer must include all of the Software (including all component parts, the media and printed materials, any upgrades, this EULA, and, if applicable, the Certificate of Authenticity). The transfer may not be an indirect transfer, such as a consignment. Prior to the transfer, the end user receiving the Software must agree to all the EULA terms
