I am getting this 3 errors every 10 seconds.

Event ID : 16
Source: MSSOAP

01 Soap error: XML Parser failed at linenumber 0, lineposition 0, reason
is: Access is denied.

02 Soap error: Loading of the WSDL file failed.

03 Soap error: One of the parameters supplied is invalid..

Any idea how to fix this problem?

Did you figure anything out with this? I am getting the same errors and have
been unable to figure it out. I have win 2003 std, PS WSS on one server and
a clustered SQL backend. I keep getting those errors.

Pat,

I ended up doing my way, I don't know if this is the correct way or not.

I unsinstalled the Windows SharePoint Service, reboot the computer
and then reinstalled the Windows SharePoint Service.
After that the problem went away.

Just for my understanding, after having it all installed (project Db) you
uninstalled WSS and then reinstalled? I might go down that path because this
will be my production system but currently it is just sitting there.

Yes. But you need to take in consideration system configuration.
My configuration is:
W2003 with all the Windows Updates.
IIS enabled.
SQL 2000 Server (standard) SP3
Project 2003 Server SP1
Windows SharePoint Service.
