protect my excel-page,
and keep some cells available to work in
ALSO editing the lay-out of the cell?

Select the cells you want to be able to work with, do
format>cells>protection,
uncheck locked. Now protect the sheet.

I know how this works, BUT than I still can't edit the lay-out after I
protected the sheet.
The lay-out is then also disabled.

It depends on what you mean by layout, in excel 2002 you can select what is
allowed when you protect the sheet so you can use format, draw etc
