Cannot open files created in Access 2000 with Access 2002

Hi,
I am facing this wierd problem...the different scenarios
are as follows:

The file was created in Access in a system having Win 98
and Off 2000.
These files when transfered to another PC having Win 98
and Off XP work fine.
When I try to use the files in a system with Win XP Pro
and Off XP...it gives me an error as follows:

The visual Basic for the Applications project in the
database is corrupt.

It then repairs and restarts the application.Again when I
proceed it give me the following error message:

The expression After update you entered as the event
property setting produced the following error: A problem
occurred while Microsoft Access was communicating with
the OLE server or ActiveX control

* The expression may not result in the name of a macro,
the name of a user defined function,or [Event Procedure]
* There may have been an error evaluating the function,
event or macro

I have even tried converting the files to Access 2002
compatibility but no luck. Can someone help me on this?
Is there any Operating System compatibility issue since I
am facing this problem only with WinXP Pro or Home
Edition? I face the same problem even if I use Office
2000 on Win XP.It works fine with Win98
