Desp seeking solution.....Error msgs upon opening Excel 2000sp3 file

1. Excel.exe application error
The instruction at "0x306814a" referenced memory
at "0x0000000c". The memory could not be "read".

Then
2. Program error
EXCEL.exe has generated errors and will be closed by
Windows. You will need to restart the program.
