Because the Formatting *Palette* is not a *Toolbar* - it's a totally
separate, independent & distinct mechanism. The only customization that can
be done is available by clicking the small Cuatomize triangle on its bottom
edge & selecting the Customize Formatting Palette... Command.

Thanks Bob, so to confirm, the only way to toggle it on and off is to manually mouse click via the view menu -- no shortcuts for that

Well, that's not what I wrote, nor is it related to the question you
originally asked :) There are at least 2 alternatives to using the View>
Formatting Palette method:

1- There is a Formatting Palette button on the Standard Toolbar [next to the
Zoom box] for that purpose. A copy of that button can be added to any other
toolbar as well, and

2- It should be possible to create a macro to toggle the palette on/off.

Ok Bob,
Next to zoom on right I see an arrow that says more. and there are tons of icons, one is the formatting palatte with an A symbol on a page.
But I want to get this on the toolbar! Not have to click an arrow to get it.
That just as cumbersome and doing view, formatting palatte.
And I don't see it in the commands section under view or anywhere in the customize toolbar section. am I missing it?

OK - Now I understand your problem :) You're not missing it - it just isn't
where you would expect it to be. The FP is a "special" type of item & isn't
handled exactly the same as most others, but what you want is doable.

Go into the Customize Toolbars & Menus dialog then click View on the Excel
Menu Bar (not the "regular" menu you normally use).

Keep the Option button held down while you drag the Formatting Palette
command to the preferred location on a toolbar. Once you drop it in place
you can release the Option button. You'll have the result you want.

Unfortunately you can't assign a keystroke to toggle the FP on/off but if
you want to go that far Steve R. has provided me with a macro to which a
stroke can be assigned. Let me know if you want it, but the button method
described above should work out for you.

Since my installation of 2004 goes back over several years I may have copied
the FP button to the bar some time ago - can't remember for sure. But since
I have it on my toolbar I may have assumed it was by default & didn't
realize yours wasn't in the same place already.
