When Adding new server in ProjectServer 2002 Manage SharePoint Team Services
..
The error message with possible failure reasons pops-up. Non of the listed
reasons are valid.
I use the same server for Project Server and Sharepoint , this server has no
proxy.
the user is the domain built in Administrator.

Any idea what else do I miss?

Yes but even if you are not using a proxy server you must
run the proxycfg. Check out Gary, Dale et al's web site
for the exact instructions.
