Microsoft 2002 on purcahsed computor, but, have Microsoft 2003. Can I install?

Purcahsed a Compaque computor and Microsoft 2002 is
installed and I can not activate it. I have purchased
Microsoft Work Suites and have the activation code, can I
load the Microsoft 2003? Will it just install over the
one that came with the computor?
