There is no "small fee" that MS charges to change the license from OEM to a
retail version (upgrade or new install.)

The issue is that if you use the upgrade product on another machine later
the original OEM product would not be a qualifier for a different machine
and to use the upgrade disk would require a different qualifier at that
time.
