Office 2003 Proffessional upgrade won't install

I am trying to install Office 2003 proffessiona upgrade, but
when I insert the CD. The setup window doesn't open and
the drive just churns away.

I have

1. Tried the original Office XP proffessional installation CD from Dell
- it works


2. Disabled the firewall - didn't help


3. Checked task manager - setup.exe is running


I have had trouble looking at the CD because setup starts (I think) whenever
I try.

Any suggestions

I am running windows XP. I could run dir /s in command mode
and run "type" against readme.htm, but when I tried to type
setup.ini in /files/setup I got

"The request could not be performed because of an I/O device error"

is the file bad?
