Office 2007 upgrade

My understanding is that I can upgrade from Works 8 or 9 to Office 2007 using
the upgrade version of Office 2007. Am I correct? Also, can I put Office
2007 on both my desktop and portable device(laptop) using the same upgrade
license? What is the correct part number for the license that I need?
