Office 97 Pro Upgrade vs. full retail version

I currently have Microsoft Works 2000 and would like to
install Office 97 Professional...

Will Office 97 Pro "Upgrade" install all the same
components as Office 97 Pro "full retail version"?

Yes it will but I'm not sure that yr version of Works will be a qualifying
app.
I don't use Works but I believe this version to be later than Office97,
therefore probably wont be excepted as a Q app.
