Outlook process running even after shutting down !!!

I have a problem with my outlook continuing to run in the background even
after I shut it down. This is verified in the task manager under the running
processes tab.
Agent server also runs with it and if I end the outlook process thru task
manager then agentserver shuts down also.
The biggest problem with this is that while I think that I have shut down my
outlook, it continues to run while I am away fromo my pc and continues to
check my email. When I go to check my email from my notebook or other
location, I never have any mail. When I open outlook from my desktop at home
when it appeared to be closed, it opens with all my missing mail and I then
have to forward the stuff I need on the notebook, shut down outlook, shut it
down again thru task manager, then open it up on the notebook and receive it.

This really is quite a hassle and I would like to know what I can do so I
dont have to utilize task manager for shutting down apps that should shut
down when I select file/exit?

Thanks for any suggestions ( other than try a new email app)

What is agentserver?
The biggest problem with this is that while I think that I have shut

I'm not exactly sure. All I know is that it is linked with outlook on both my
win2ooo and xp machines, in the task manager. If I bring up taskmanager and
select outlook.exe / end process and after cliking the warning, I see outlook
exe removed followed by agentsrvr.exe removed?

P.S. When I do a search for agentsrvr.exe, I get a links stating that it is
spyware?
Not sure but from what I recall, it has always been there since installing
outlook.

My mistake....
Not agentsrvr but agentsvr.exe and it is published by microsoft.
not spyware dang typos LOL

I too am having this problem spread across 20 different laptops in our
company. Though this problem only started after SP1 was installed. Anyone
know of a fix?

Some common reasons why Outlook will not shut down completely when you click
either the X or Exit:

1. PDA synchronization software with your PDA in the cradle.
2. WinFax Pro (especially 10.02 in Outlook 2003) - contact their support
for an alleged fix.
3. Franklin-Cover Plan Plus!
4. COM Add-ins.
5. Mail reminder add-ins that keep a stub of Outlook open in the background
to check for new mail and fire reminders.
6. Anti-virus/firewall programs that are set to scan incoming and outgoing
mail.

I spent 8 angry hours yesterday tying to fix this problem. Based on th
answer below and elsewhere, I started going through the various possibl
culprits. None of the ones mentioned below were my problem, although
see how they can be. My problem was Side ACT. As it is set to ope
and start up and monitor alarms, etc. it was interfering in a might
way. I rarley use that part of ACT so I simply disabled the open o
start up feature and now Outlook is working like a breeze.
