Purchasing Key for site dowload of software

I have an acquaintance who claims to have won a MS "key" to a new copy of MS
Office 2007 Pro at a trade show. They want to sell it as they don't need it.
Seems like a legit deal. Is this something that I should be wary of as a scam
or does such a thing allow for a good authorized copy to be downloaded from
the MS website with all rights same as buying it outright.

Anyone know if there is a way to verify the key is good prior to paying for
it?

It depends on what your friend has to prove that it's legit and where he/she
got the key.

I have been to a Microsoft seminar and when they give out those copies
it is an actual copy not a 'download key', unless they have changed
policy in the last year or so.

That's what I've seen in the past as well. Without know what trade show the
current owner attended it could be anything. I've been to trade shows where
I'm convinced half of the vendors are selling hot goods.
