Using Word97 - <my.document> saves a background copy of <~$my.document> in
the "Save As" Dialogue Box upon saving a document. How do I save without
background copy showing?

You don't. :)

What you are encountering is not a 'background copy' but rather a
temporary file called an Owner file. This is part of how Word normally
functions and it isn't something you can turn off. (Although these are
hidden files so removing the display of hidden files will suppress the
view of owner files in the dialog boxes.)

When a document is opened an Owner file is created. This holds the
user info of the individual that currently has the document open. This
is a temp file and is deleted when the document is closed. However if
an error should occur such as an IPF then Word is unable to delete the
Owner file. So the next time the document is opened, Word "sees" that
an Owner file exists and presents the message, "file is in use". I've
also noticed that this can happen if you manually delete the Owner
file but the document isn't released from memory.

For more information on this and a full clean-up procedure take a look
at this article:

Also note that if Word runs into any rogue temp files other errors can
occur so the full clean up from time to time, should be included in
your normal maintenance procedures.
