Upgrades and full versions or old versions

I'm still a little bit confuse. What is the difference between MS OFFICE
FULL VERSIONS AND MS OFFICE UPGRADES...
PLEASE HELP ME.......

An upgrade version requires a previous older qualifying version to be
present, or the cd available, to install.
