Exits but doesn't shut down

I use Outlook 2000, and had noticed that even though I had exited
Outlook It would still check and retrieve e-mails and the new mail sound
would happen.
I finally went into "task Manager " and found even though I had exited
outlook it was still running.
How do I close?shut down Outlook without going through the task manager

If you click on File | Exit & Logoff, does it help?
Any third party conduits/apps running? Such as any PDA syncing software, fax
software, etc. ?

That is procedure I use for Exiting doesn't help, no apps running
