Whether or not Office 2003 overwrites Office XP depends on how you install
it. If you install Office 2003 into a separate folder, then it won't
overwrite Office XP.

If your copy of Office XP is an upgrade version, then either 1) the
qualifying product making you eligible for the upgrade must remain installed
on your computer, or 2) you must have the original CD for the qualifying
product available to insert into the CD drive when prompted by the Office XP
installer for a qualifying product. The qualifying product is part of your
Office XP upgrade license, and if you no longer have the qualifying product,
then you no longer have a license to use Office XP.
