office 2000 will not down load

I get an error 1309 error reading from file
E:\PFiles\MSoffice\template\1033\assets.MDZ It says verify that file exits
and you can access it. Then it say to over ride or try again. Neither one
lets it down load to my computer. I have an windows XP
