outlook.exe process

I have Outlook 2002 running under Outlook XP.
When I shut down Outlook, the Outlook.exe process remains running (I can
see this in the Windows Task Manager). Because of this, Outlook won't work
properly when I re-open it. How can I make sure the process shuts down
completely when I close out of Outlook?
