Upgrading Office XP to Office 2003 (full version)

I am upgrading office XP to Office 2003 (both full versions). I plan to "pass
down" the Office XP to another user. What is the best procedure?

Uninstall Office XP. Give your user the installation media.

When they try to activate the product on the Internet, activation will
probably fail, so use the Telephone method of activation and explain the
transfer of licensing to the operator.
