OK, thanks for the additional information. I don't recall if there were
any problems with the Compare utility that required one of the updates
to Project 2003 but if you don't already have them installed, it is
certainly worth a try.
Even though your files are on the large size, the file size shouldn't be
an issue unless your PCs are strapped for memory and I doubt that is the
case with present day PCs.
There are some quirks with the utility but unfortunately Microsoft has
never made the code available (as far as I know) so that it can be run
in debug mode. You already mentioned you deleted all external links
(that caused a problem for another poster to this newsgroup a few weeks
ago). I assume you are not trying to run the Compare on a consolidated
master (the utility can only compare tasks that are part of the master
itself). There is also a problem if you have duplicate fields (e.g. Cost
field is shown in more than one column).
I don't have any experience with using the utility under Windows 2K (I
use XP) but I don't see why the Windows version would cause a problem.
I don't know if it will help, but I would be willing to do a little
troubleshooting with your actual files if you are willing to e-mail them
to me. I also have my own version of the Compare utility and I could try
that. If your files have sensitive data, I can give you a macro that
will desensitize them or you can go to fellow MVP, Jack Dahlgren's
webstie at:

and use his "scrub" macro. If you send the files be sure to zip them
(believe it or not, I still use dial up).
