A client wants to update his computer to Office XP. He is
now using Works. Will he lose his files when he updates?

No because Works and Office are two entirely different suites of
applications. What he WILL have to do (AFAIK) is to save all the Works
documents into a format that Office can read, if the versions are not in the
files-of-type boxes.....if you see what I mean....

Please also note that Works is *NOT* a qualifying product for Office XP -
but it is for Office 2003 (though that's not much good if you're using 9x or
NT as 2003 requires 2000 (SP3 or later) XP or Windows 2003).
